Terms & Conditions

These Terms and Conditions of Service (“Agreement”) are entered into by and between Gladman Creative Designs (Pty) Ltd (“Gladman Creative Designs”, “we”, “us”, or “our”) and the entity or individual purchasing or accessing our services (“Customer”).

This Agreement includes the terms and conditions below together with any written quotation, proposal, service agreement, or order confirmation issued by Gladman Creative Designs (“Order Form”). The Effective Date of this Agreement is the earlier of:

a) the date the Customer first accesses or uses our Services; or
b) the date of acceptance of an Order Form or service proposal.

This Agreement governs both the initial and all future services provided by Gladman Creative Designs unless replaced by a signed agreement.

We may modify these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised terms.

Capitalized terms have the meanings assigned below or where first used.

1. Definitions

1.1 Authorized Devices
Devices such as desktop computers, laptops, tablets, or mobile devices through which the Services may be accessed.

1.2 Content
All text, graphics, designs, media, data, code, documents, branding assets, or materials created, uploaded, or supplied by the Customer or its users within the scope of the Services.

1.3 Documentation
Any technical or informational material provided by Gladman Creative Designs describing use of delivered services, platforms, or systems.

1.4 Services
All web design, UI/UX, branding, development, hosting setup, consulting, digital strategy, marketing support, and related digital services delivered by Gladman Creative Designs.

1.5 Order Form
A proposal, quotation, invoice, or agreement outlining services, pricing, timelines, or deliverables agreed upon by both parties.

1.6 Components or Integrations
Third-party tools, plugins, modules, APIs, or integrations used within a project. Gladman Creative Designs does not guarantee performance of third-party components.

1.7 User
Any employee, contractor, or representative authorized by the Customer to access project systems or deliverables.

2. License and Use Rights

2.1 Services Usage

Gladman Creative Designs grants the Customer a non-exclusive, non-transferable right to use deliverables or systems produced during the project for business purposes, subject to payment and compliance with this Agreement.

Services may be delivered electronically or via hosted systems.

2.2 Access Provisioning

Access credentials or administrative access required to use project deliverables may be provided to the Customer. The Customer is responsible for managing user access and all activities performed through provided accounts.

2.3 Account Responsibility

Where accounts are required for hosting platforms, CMS tools, or integrations:

• Accounts must be created using accurate information.
• Login credentials must not be shared publicly.
• Automated or bot-based accounts are prohibited.
• Customers are responsible for activities conducted under their accounts.

2.4 Service Use Restrictions

The Customer and its Users shall not:

a) Attempt to access unauthorized data or systems;
b) Send spam or unsolicited communications;
c) Upload malware or harmful software;
d) Impersonate individuals or entities;
e) Share confidential information without authorization;
f) Interfere with systems or services;
g) Use services for unlawful or discriminatory purposes;
h) Use services for illegal activities;
i) Store sensitive personal information without legal safeguards;
j) Copy or replicate proprietary systems or solutions without permission;
k) Reverse engineer or decompile software components;
l) Modify deliverables beyond agreed use without authorization;
m) Resell or redistribute services without approval;
n) Build competing services using proprietary methods;
o) Damage service infrastructure;
p) Use services for prohibited or harmful purposes;
q) Use automated scraping tools without authorization; or
r) Upload defamatory, abusive, fraudulent, or illegal content.

Customers must comply with all applicable laws when using delivered services.

2.5 Content Restrictions

Customer-provided content must not:

a) Be used for unlawful purposes;
b) Damage the reputation of Gladman Creative Designs;
c) Infringe intellectual property rights;
d) Imply endorsement by Gladman Creative Designs without consent;
e) Attempt unauthorized access to systems;
f) Create harm or risk to others;
g) Exploit minors;
h) Promote criminal activity;
i) Contain abusive or discriminatory material;
j) Violate third-party rights;
k) Be used without necessary permissions;
l) Contain illegal or confidential disclosures;
m) Include knowingly false information;
n) Include explicit adult content where inappropriate; or
o) Be unrelated to agreed project purposes.

Gladman Creative Designs reserves the right to refuse or remove content violating these terms.

2.6 Publicity Rights

Unless otherwise agreed, Gladman Creative Designs may reference the Customer as a client and display completed work within portfolios, presentations, and marketing materials.

Clients may request confidentiality in writing before project commencement.

2.7 Support Services

Standard support includes:

• Reasonable assistance during business hours;
• Resolution of issues directly related to delivered work;
• Delivery of updates or improvements where applicable.

Extended maintenance or ongoing support services require a separate agreement.
